本终端用户许可协议（“EULA”）构成被许可人（“您”）与此芯科技集团有限公司（“此芯”）之间关于此芯软件产品、某些第三方软件产品及相关材料与文件（“产品”）的法律协议。如果您不同意这些条款与条件，您不得使用该产品。如果此芯向您提供本EULA项下提供的任何产品的更新，您同意在合理的时间内销毁先前版本产品，并且仅使用产品的更新版本。
This End User License Agreement ("EULA") constitutes a legal agreement between the Licensee ("you") and CIX Technology Group Co., Ltd.("CIX") regarding CIX software product, certain third-party software products, and related materials and files ("products"). If you do not agree to these terms and conditions, you may not use the product. If CIX provides you with updates to any products provided under this EULA, you agree to destroy the previous version of the product within a reasonable time and only use the updated version of the product.
1. 软件许可
此芯及其许可人（“许可人”）应拥有对产品及其任何复制品的所有权利、权属及权益。产品的任何更新、增补、校正或故障的修补将受本EULA条款的管辖。
（1）该产品仅用于个人或非商业用途，未经此芯书面同意，您不得用于其他用途。
（2）您收到的SDK和 API仅用于开发在CIX P1上运行的软件。
（3）您承认根据本EULA协议，您只拥有非排他性的及有限的权利。您可以为存档或备份的目的以目标代码的形式制作产品的一份复制品。
（4）您不得除掉或遮掩产品所包含的任何专有权利标记、限制权利图注或其他标记。您必须在产品的所有复制品中包含所有标记。
（5）您不得对产品进行反向工程、反编译或反汇编，或试图获得对产品原码的访问权，但适用法律明文准许除外，并且只能在适用法律明文准许的范围之内，并且如果适用法律准许约定放弃该权利，您谨此放弃这样做的权利。
1. software license
The software license states that CIX and its licensor ("licensor") shall have all rights, titles, and interests in the product and any copies thereof. Any updates, supplements, corrections, or repairs to the product will be governed by the terms of this EULA.
(1) This product is only for personal or non-commercial use, and you may not use it for any other purpose without the written consent of CIX.
(2) The SDK and API you receive is solely for developing software that runs on CIX P1.
(3) You acknowledge that under this EULA agreement, you have only non exclusive and limited rights. You can create a copy of the product in the form of object code for archiving or backup purposes.
(4) You are not allowed to remove or conceal any proprietary rights markings, restricted rights captions, or other markings contained in the product. You must include all markings in all replicas of the product.
(5) You are not allowed to reverse engineer, decompile, or disassemble the product, or attempt to gain access to the original code of the product, except as expressly permitted by applicable law, and only within the scope expressly permitted by applicable law. If applicable law permits a waiver of such right, you hereby waive the right to do so.
2. 保密
您承认产品包含此芯及其许可人的商业秘密及专有信息与资料（“保密信息”）。您同意不向任何第三方披露该保密信息。在不限制上述条款的条件下，您同意起码将以对待您自己同等重要的保密信息同样的谨慎对待保密信息，但在任何情况下您均将以合理的谨慎对待该保密信息。虽有上述规定，但对下述任何保密信息您均无任何责任：
（1）当保密信息披露时已为公众所知或并非由于您的过错已进入公众领域;
（2）当披露时，您是在未有限制的情况下知悉保密信息;
（3）在未使用或未参考任何保密信息的情况下，由您独立开发的保密信息;
（4）依据法院、行政机构或其他政府部门的有效命令或要求披露的保密信息，但条件是您将及时向此芯提供该要求或命令的通知，以使此芯及其许可人能寻求保护令或以其他方式防止或限制该披露。
2. Confidentiality
You acknowledge that the product contains trade secrets and proprietary information and materials of CIX and its licensors ("Confidential Information"). You agree not to disclose this confidential information to any third party. Without limiting the above terms, you agree to treat confidential information with at least the same level of care as you treat your own equally important confidential information, but in any case you will treat such confidential information with reasonable care. Despite the above provisions, you are not responsible for any confidential information that:
(1) is already known to the public at the time of disclosure or has entered the public domain through no fault of yours。
(2) was known to you without restriction at the time of disclosure.
(3) was independently developed by you without using or referencing any confidential information.
(4) is disclosed in accordance with effective orders or requirements of courts, administrative agencies, or other government departments, provided that you will promptly provide notice of such requirements or orders to CIX and its licensors to seek a protective order or otherwise prevent or restrict such disclosure.
3. 因本EULA协议发生的任何争议双方应友好协商解决，协商不成，双方同意提交此芯所在地诉讼解决。
3. Any disputes arising from this EULA shall be resolved through friendly negotiation between the parties.both parties agree to submit the dispute to the litigation in the location of CIX for resolution if negotiation fails .
